Terms of Service

These Terms of Service ("Terms") govern your access to and use of Build Mat Mart.

Please read these Terms carefully before using Build Mat Mart. By accessing the Website, creating an Account, posting a Listing, contacting another User or entering into a Transaction through Build Mat Mart, you agree to these Terms.

1. Definitions

For the purposes of these Terms:

Account means an account created to access or use Build Mat Mart.

Build Mat Mart, we, us or our means Build Mat Mart Pty Ltd (ACN 696 875 251).

Build Mat Mart Secure Payment means the payment option available through the Service under which a Buyer makes payment through the payment facilities integrated with Build Mat Mart and powered by Stripe.

Buyer means a User who purchases, offers to purchase or enquires about Goods through the Service.

Content means text, photographs, images, descriptions, reviews, messages and other information submitted to or displayed through the Service.

Direct Payment Transaction means a Transaction where the Buyer and Seller choose the Pay Seller Directly option and arrange payment between themselves rather than processing the payment through Build Mat Mart Secure Payment.

Goods means building materials, products and other permitted items offered or advertised through Build Mat Mart.

Listing means an advertisement or offer for Goods published through the Service.

Order means an order or agreement to purchase Goods through the Service.

Pay Seller Directly means the payment option under which the Buyer and Seller arrange and complete payment directly between themselves.

Seller means a User who lists, offers or sells Goods through the Service.

Service means the Build Mat Mart marketplace and associated services available through the Website.

Stripe means Stripe and its related entities providing payment processing and connected account services used in connection with Build Mat Mart Secure Payment.

Transaction means an arrangement or transaction between a Buyer and Seller relating to Goods listed through the Service, whether payment is completed using Build Mat Mart Secure Payment or Pay Seller Directly.

User or you means any person or entity accessing or using the Service.

Website means the Build Mat Mart website at buildmatmart.com.au.

2. Acceptance of These Terms

By accessing or using the Service, you agree to comply with these Terms and our Privacy Policy.

You must be at least 18 years old and legally capable of entering into binding agreements to create an Account or enter into a Transaction.

If you use Build Mat Mart on behalf of a company, business or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree with these Terms, you must not use the Service.

3. Build Mat Mart's Role

Build Mat Mart provides an online marketplace that allows Buyers and Sellers to connect for the purpose of buying and selling building materials and other permitted Goods.

Unless expressly stated otherwise, Build Mat Mart:

does not own the Goods listed by Sellers; is not the Seller, supplier, manufacturer, importer or distributor of the Goods; does not take possession of Goods; does not inspect or independently verify every Listing or User; is not responsible for manufacturing, supplying, transporting, loading, unloading or installing Goods; does not guarantee that a Buyer or Seller will complete a Transaction; and is not a party to the contract for the sale of Goods between the Buyer and Seller.

The contract for the purchase and sale of Goods is between the Buyer and Seller.

Build Mat Mart provides the marketplace, communication tools and, where selected, access to payment processing facilities.

Nothing in these Terms excludes any responsibility Build Mat Mart has under applicable law for the services that Build Mat Mart itself provides.

4. User Accounts

4.1 Creating an Account

You must provide accurate, current and complete information when creating and maintaining your Account.

You must not:

  • create an Account using false information;
  • impersonate another person or business;
  • create an Account for fraudulent or unlawful purposes; or
  • allow another person to use your Account in a way that breaches these Terms.

You are responsible for maintaining the security of your Account and password.

You must notify Build Mat Mart if you become aware of unauthorised access to your Account.

4.2 Verification

Build Mat Mart, Stripe or another service provider may require information or documentation to verify your identity or eligibility to use particular features.

This may include your:

  • name;
  • contact information;
  • address;
  • business information;
  • identification documents; or
  • payment or payout information.

The availability of particular features may depend on successfully completing required verification.

Verification does not constitute an endorsement, guarantee or warranty by Build Mat Mart that a User is trustworthy, financially secure or suitable to transact with.

5. Listings and Seller Responsibilities

Sellers are responsible for the accuracy and legality of their Listings.

By publishing a Listing, the Seller represents that:

  • they own the Goods or have authority to sell them;
  • the Goods may lawfully be advertised and sold;
  • the Listing is accurate and not misleading;
  • photographs reasonably represent the Goods being offered;
  • the stated quantity, condition and price are accurate;
  • known material defects or damage have been appropriately disclosed;
  • the Goods do not infringe another person's intellectual property or other rights; and
  • the Listing complies with applicable laws and Build Mat Mart policies.

Sellers must accurately select the condition of Goods where condition options are provided.

Descriptions such as Brand New, Surplus/Unused, Used or Reclaimed should reasonably reflect the actual condition of the Goods.

Sellers must not list prohibited, stolen, counterfeit, unsafe or unlawfully obtained Goods.

Build Mat Mart may remove, restrict or request changes to a Listing that we reasonably believe breaches these Terms, applicable law or our marketplace policies.

6. Buyer Responsibilities

Buyers are responsible for reviewing a Listing and determining whether the Goods are suitable for their intended purpose before purchasing them.

Before entering into a Transaction, Buyers should consider:

  • the description and photographs;
  • quantity;
  • dimensions;
  • condition;
  • compatibility;
  • location;
  • delivery or collection requirements;
  • loading and unloading requirements; and
  • any information provided by the Seller.

Buyers should ask the Seller questions where information is unclear.

Where appropriate, Buyers should inspect Goods before or at collection or delivery.

The Buyer is responsible for determining whether Goods are appropriate for a particular construction, structural, regulatory or other use unless applicable law provides otherwise.

Build Mat Mart does not provide engineering, architectural, building, certification or other professional advice regarding Goods listed on the Service.

7. Transactions Between Buyers and Sellers

When a Buyer and Seller agree to a Transaction, they enter into an agreement with each other concerning the Goods.

The Buyer and Seller are responsible for agreeing on matters including:

  • the Goods being purchased;
  • price;
  • quantity;
  • condition;
  • payment method;
  • delivery or pickup;
  • loading and unloading;
  • timing; and
  • any other agreed Transaction terms.

Users should keep important communications within Build Mat Mart messaging wherever possible so there is a record of what has been agreed.

Build Mat Mart may provide tools that allow Buyers to purchase Goods at the listed price, make offers, accept counter-offers or otherwise agree on a Transaction.

8. Payment Options

Depending on the options offered by the Seller and available through the Service, a Transaction may be completed using:

Option 1 — Build Mat Mart Secure Payment

Payment is processed through the payment facilities integrated with Build Mat Mart and powered by Stripe.

Option 2 — Pay Seller Directly

Payment is arranged and completed directly between the Buyer and Seller.

The payment option selected affects how payment, refunds and disputes can be handled.

9. Build Mat Mart Secure Payment

9.1 Payment Processing

Build Mat Mart Secure Payment allows Buyers to make payment using payment facilities powered by Stripe.

Payment information may be provided directly to Stripe or other payment service providers as required to process the Transaction.

By using Build Mat Mart Secure Payment, you also agree to any applicable terms imposed by Stripe in connection with its payment services.

Build Mat Mart is not a bank and does not provide banking services.

9.2 Payment Authorisation

Buyers must use a payment method they are legally authorised to use.

Payments may be subject to:

  • authorisation;
  • fraud screening;
  • identity verification;
  • card issuer approval;
  • transaction limits; and
  • Stripe's payment requirements.

A Transaction may be delayed, rejected or cancelled if the required payment authorisation cannot be obtained.

9.3 Seller Payouts

For Build Mat Mart Secure Payment Transactions, the Seller's payout is not immediately released upon the Buyer making payment.

The payout is released when the Transaction reaches the applicable completion stage under the Build Mat Mart transaction process.

This may include the Buyer confirming receipt of the Goods or the Transaction automatically progressing to completion after an applicable period where no eligible issue or dispute has been raised.

The time taken for released funds to reach the Seller's bank account may depend on Stripe, the Seller's bank and other financial institutions.

9.4 Seller Payout Details

Sellers who wish to receive payments through Build Mat Mart Secure Payment must provide the information required to establish and maintain their payout facility.

This may include identity, business and bank account information required by Stripe.

Sellers who only receive payment directly from Buyers do not need Build Mat Mart payout details for those Direct Payment Transactions.

9.5 Secure Payment Is Not Insurance

Build Mat Mart Secure Payment provides a controlled platform payment process, but it is not insurance and does not guarantee against every loss, dispute, fraudulent act or unsuccessful Transaction.

Users remain responsible for reviewing Listings, communicating with the other party and taking reasonable precautions before completing a Transaction.

10. Pay Seller Directly

10.1 Direct Payments

Where Pay Seller Directly is available, Buyers and Sellers may arrange payment directly between themselves.

Payment methods may include bank transfer, cash or another payment method agreed between the parties.

A Direct Payment Transaction may originate through Build Mat Mart, but the payment itself occurs outside Build Mat Mart Secure Payment.

10.2 Build Mat Mart Does Not Control Direct Payments

For Pay Seller Directly Transactions, Build Mat Mart and Stripe do not process, hold, receive or control the funds exchanged directly between the Buyer and Seller.

Build Mat Mart cannot:

confirm that a direct payment has been made or received; stop or reverse a direct payment; release or recover directly transferred funds; issue a refund from funds we do not control; or guarantee payment or recovery of money.

10.3 Responsibility for Direct Payments

Buyers are responsible for satisfying themselves that they are comfortable proceeding before sending money directly to a Seller.

Sellers are responsible for confirming receipt of payment where appropriate before releasing, dispatching or handing over Goods.

Any refund, return, payment dispute or other financial issue concerning a Direct Payment Transaction must be dealt with between the Buyer and Seller, subject to applicable law.

10.4 Direct Payment Protection

The payment protections and payout controls associated with Build Mat Mart Secure Payment do not apply to Pay Seller Directly Transactions.

Build Mat Mart may still investigate reports of suspected fraud, misleading Listings, prohibited conduct or breaches of these Terms and may take action in relation to a User's Account.

11. Fees

11.1 Listing Fees

Unless otherwise displayed at the time of listing, standard Listings may be posted without an upfront Build Mat Mart listing fee.

Optional paid promotional or enhanced listing features may be offered separately.

Any applicable fee will be displayed before the User purchases the relevant feature.

11.2 Seller Transaction Fees

Build Mat Mart does not currently deduct a Build Mat Mart seller transaction fee from the agreed sale amount.

11.3 Buyer Secure Payment Fees

Where a Buyer selects Build Mat Mart Secure Payment, an applicable service and/or payment processing fee may be charged to the Buyer.

Any applicable fee will be displayed before the Buyer confirms payment.

11.4 Pay Seller Directly

Build Mat Mart does not currently charge a transaction fee on payments made using Pay Seller Directly.

11.5 Changes to Fees

Build Mat Mart may introduce or change fees in the future.

Any applicable fee will be disclosed before the User enters into the transaction or purchases the feature to which the fee applies.

Changes to fees will not retrospectively alter fees already agreed for a completed Transaction.

12. Cancellations, Refunds and Disputes

12.1 Resolving Issues

If an issue arises, Buyers and Sellers should first attempt to communicate with each other and resolve the matter reasonably.

Users should retain relevant:

  • Build Mat Mart messages;
  • photographs;
  • Listing information;
  • payment records;
  • delivery or collection information; and
  • other evidence concerning the Transaction.

12.2 Build Mat Mart Secure Payment Disputes

If there is an issue with a Build Mat Mart Secure Payment Transaction, the affected User should contact Build Mat Mart as soon as reasonably possible.

Where the Buyer has not yet confirmed receipt or completion, the Buyer should not confirm completion while a genuine material issue remains unresolved.

Build Mat Mart may review:

  • the Listing;
  • Transaction information;
  • communications available through Build Mat Mart;
  • photographs;
  • payment information;
  • delivery or collection evidence; and
  • information provided by the Buyer and Seller.

We may request additional information from either party.

Where technically available and appropriate, a Transaction may remain incomplete while an eligible dispute is being reviewed.

Depending on the circumstances, applicable law, Stripe requirements and these Terms, possible outcomes may include:

  • completion of the Transaction;
  • release of the Seller's payout;
  • cancellation;
  • a full or partial refund where available and appropriate; or
  • another reasonable outcome agreed between the parties.

Build Mat Mart does not guarantee any particular dispute outcome.

Nothing in this section limits rights or remedies that cannot lawfully be excluded.

12.3 Direct Payment Disputes

Build Mat Mart cannot issue, recover or reverse payments made directly between Users because those funds are not controlled by Build Mat Mart.

Refunds, returns and payment disputes relating to Pay Seller Directly must be resolved between the Buyer and Seller, subject to applicable law.

Build Mat Mart may nevertheless investigate User conduct and take action in relation to an Account or Listing where appropriate.

12.4 Change of Mind

Unless agreed by the Seller or required by law, a Seller is not required under these Terms to accept a return or provide a refund solely because a Buyer changes their mind.

This does not affect any rights the Buyer may have under applicable law.

12.5 Chargebacks and Payment Reversals

A Buyer must not improperly initiate a chargeback or payment reversal in relation to a valid Transaction.

Where a chargeback, reversal or payment dispute occurs, Users agree to reasonably cooperate with requests for information required to investigate or respond to it.

Stripe or the relevant financial institution may make decisions concerning payment reversals in accordance with their own rules and applicable law.

13. Delivery, Pickup and Handover

Buyers and Sellers are responsible for agreeing on delivery or pickup arrangements.

Unless expressly provided by Build Mat Mart as a separate service, Build Mat Mart is not the carrier, courier or delivery provider.

Users are responsible for agreeing on:

  • delivery or collection location;
  • date and time;
  • access;
  • loading;
  • unloading;
  • suitable vehicles;
  • restraints and load security;
  • equipment required to move the Goods; and
  • any applicable delivery costs.

Users must comply with applicable road, transport, workplace health and safety and other legal requirements.

Where a third-party courier or transport provider is used, its own terms may also apply.

Risk and title in Goods pass between the Buyer and Seller in accordance with their agreement and applicable law.

14. Reviews and User Content

Users may be able to post Listings, reviews, photographs, messages and other Content.

You retain ownership of Content you submit but grant Build Mat Mart a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format and use that Content to operate, promote and improve the Service.

You represent that you have the right to submit the Content.

Content must not:

  • be false or misleading;
  • be defamatory;
  • infringe intellectual property rights;
  • unlawfully disclose personal information;
  • impersonate another person;
  • promote unlawful activity;
  • contain malicious software;
  • constitute spam; or
  • otherwise breach applicable law or these Terms.

Reviews must reflect a genuine experience and must not be manipulated, purchased or fabricated.

Build Mat Mart may remove or restrict Content where we reasonably believe it breaches these Terms, applicable law or marketplace policies.

15. Prohibited Conduct

You must not use Build Mat Mart to:

  • commit or facilitate fraud;
  • sell stolen or unlawfully obtained Goods;
  • misrepresent Goods or their condition;
  • impersonate another person or business;
  • manipulate reviews;
  • harass or threaten another User;
  • distribute malware or harmful code;
  • interfere with the operation or security of the Service;
  • scrape or systematically extract data without permission;
  • infringe another person's intellectual property;
  • use another User's personal information for unrelated purposes;
  • engage in unlawful discrimination; or
  • conduct any activity prohibited by applicable law.

Build Mat Mart may investigate suspected prohibited conduct.

16. Account Suspension and Termination

Build Mat Mart may restrict, suspend or terminate an Account, remove a Listing or restrict access to features where we reasonably consider this necessary because of:

  • a breach of these Terms;
  • suspected fraud or unlawful activity;
  • safety concerns;
  • repeated complaints or disputes;
  • misuse of the Service;
  • failure to satisfy verification requirements;
  • payment or chargeback concerns;
  • legal or regulatory requirements; or
  • conduct that materially threatens the integrity or operation of the marketplace.

Where reasonably practicable and appropriate, we may provide notice or an opportunity to respond.

We may take immediate action where reasonably necessary to protect Users, the Service or comply with legal obligations.

Termination of an Account does not affect rights or obligations arising from Transactions entered into before termination.

17. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or other protection under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other applicable law, where that guarantee, right, remedy or protection cannot lawfully be excluded, restricted or modified.

The consumer guarantees that apply to a Transaction may depend on matters including whether the Seller is acting in trade or commerce and the nature and value of the Goods.

Where a Seller is a business supplying Goods to a consumer within the meaning of the Australian Consumer Law, the Seller is responsible for complying with consumer guarantees and other obligations applicable to that sale.

Different rules may apply to genuine private sales between individuals.

Nothing in these Terms is intended to represent that a User has fewer rights than they are entitled to under applicable law.

18. Disclaimers and Liability

18.1 Marketplace Listings and Users

Build Mat Mart does not guarantee:

  • the identity or reliability of every User;
  • the accuracy of every Listing;
  • the quality, safety, legality or suitability of every Good;
  • that Goods will meet a Buyer's intended purpose;
  • that a Transaction will be completed;
  • that a Buyer will pay;
  • that a Seller will deliver;
  • that the Service will always be uninterrupted or error-free; or
  • that disputes between Users will always be resolved.

Users are responsible for exercising reasonable judgment when dealing with other Users.

18.2 The Service

To the extent permitted by law, the Service is provided on an "as available" basis.

Build Mat Mart may modify, suspend or discontinue features where reasonably necessary for operational, security, commercial or legal reasons.

18.3 Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Subject to that qualification and to the maximum extent permitted by law, Build Mat Mart is not liable for indirect or consequential loss arising solely from:

  • the acts or omissions of another User;
  • the condition, quality or suitability of Goods sold by a Seller;
  • a Direct Payment Transaction between Users;
  • third-party delivery or transport services; or
  • third-party services outside Build Mat Mart's reasonable control.

Any limitation or exclusion in these Terms applies only to the extent permitted by applicable law.

19. Third-Party Services

Build Mat Mart may integrate with or link to third-party services, including payment, mapping, analytics, communication and other service providers.

Those services may be governed by their own terms and privacy policies.

Build Mat Mart is not responsible for the independent operation of third-party services except to the extent required by law.

20. Privacy

Your use of Build Mat Mart is also governed by our Privacy Policy.

Personal information may be shared with service providers where reasonably necessary to operate the Service, process payments, prevent fraud, provide support or comply with legal obligations.

Payment and identity information required for Build Mat Mart Secure Payment may be processed by Stripe in accordance with Stripe's applicable terms and privacy practices.

21. Intellectual Property

The Build Mat Mart name, branding, Website design, software, graphics and original content supplied by Build Mat Mart are owned by or licensed to Build Mat Mart and are protected by applicable intellectual property laws.

Except as permitted by law or with our written permission, you must not reproduce, distribute, modify or commercially exploit Build Mat Mart intellectual property.

Nothing in these Terms transfers ownership of User Content to Build Mat Mart.

22. Intellectual Property Complaints

If you believe Content on Build Mat Mart infringes your intellectual property rights, contact us and provide sufficient information to identify:

  • the protected work or material;
  • the allegedly infringing Content;
  • where the Content appears;
  • your contact details; and
  • the basis of your claim.

We may remove or restrict access to Content while a legitimate intellectual property complaint is reviewed.

23. Changes to the Service or These Terms

Build Mat Mart may update these Terms from time to time.

Where a change is material, we will take reasonable steps to notify Users before or when the updated Terms take effect.

Changes will apply prospectively from their effective date unless applicable law requires otherwise.

Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.

Changes to these Terms do not retrospectively alter an already completed Transaction unless required by law or agreed by the relevant parties.

24. Governing Law

These Terms are governed by the laws of New South Wales, Australia and applicable Commonwealth laws of Australia.

Subject to any rights you may have under applicable law regarding where proceedings may be brought, the parties submit to the jurisdiction of the courts of New South Wales and courts entitled to hear appeals from those courts.

25. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be read down to the extent necessary or, where it cannot be read down, severed.

The remaining provisions will continue to apply.

26. No Waiver

A failure or delay by Build Mat Mart to exercise a right under these Terms does not constitute a waiver of that right.

A waiver on one occasion does not constitute a waiver of any later breach.

27. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or terms expressly incorporated into them, constitute the agreement between you and Build Mat Mart concerning your use of the Service.

The specific agreement for the purchase and sale of Goods remains between the Buyer and Seller.
